1. INTRODUCTION
1.1 These Terms and Conditions govern all sales of products made through Pengrill.co.uk (“the Website”).
1.2 The Website is operated by Penroc UK (“we”, “us”, “our”).
1.3 The Website and products are intended solely for business customers. By placing an order, you confirm that you are acting in the course of a business, trade, profession or occupation and not as a consumer.
1.4 No consumer rights legislation shall apply to contracts formed under these Terms and Conditions.
2. PRODUCTS
2.1 We supply Pengrill briquettes and associated products as described on the Website.
2.2 Product images, dimensions, weights and specifications are provided for illustrative purposes only. Minor variations shall not constitute a defect.
2.3 We reserve the right to modify product specifications where necessary to comply with applicable laws or to improve product performance.
3. ORDERS
3.1 All orders submitted through the Website are subject to acceptance by us.
3.2 An order constitutes an offer by the customer to purchase goods.
3.3 A contract is formed only when we issue an order confirmation or dispatch the goods, whichever occurs first.
3.4 We reserve the right to refuse any order at our discretion.
3.5 Orders placed by bank transfer must be submitted by email to sales@pengrill.co.uk.
4. PRICES AND VAT
4.1 All prices displayed on the Website are stated in Pounds Sterling (£).
4.2 Unless otherwise stated, prices are exclusive of VAT.
4.3 VAT shall be charged at the prevailing UK rate.
4.4 We reserve the right to amend prices at any time prior to acceptance of an order.
4.5 Delivery charges will be displayed separately where applicable.
5. PAYMENT
5.1 Payment must be made in full before goods are dispatched.
5.2 The Website accepts payment by:

• Credit Card
• PayPal
5.3 Customers wishing to pay by bank transfer must contact sales@pengrill.co.uk for ordering instructions.
5.4 We reserve the right to cancel any order where payment is not successfully received.
6. DELIVERY
6.1 We deliver to mainland United Kingdom addresses only.
6.2 Orders for stock items are normally dispatched within 72 hours of receipt of cleared payment.
6.3 Delivery times are estimates only and are not guaranteed.
6.4 Lead times for pallet quantities and special orders will be advised upon application.
6.5 We shall not be liable for delays caused by carriers, suppliers, weather conditions, industrial action, or circumstances beyond our reasonable control.
6.6 Risk in the goods passes to the customer upon delivery.
7. INSPECTION OF GOODS
7.1 Customers must inspect all goods immediately upon delivery.
7.2 Any shortages, damages or delivery discrepancies must be reported to us within 24 hours of delivery.
7.3 Claims should be submitted by email to sales@pengrill.co.uk together with supporting photographs where applicable.
7.4 Failure to notify us within 24 hours shall be deemed acceptance of the goods as delivered.
8. RETURNS
8.1 Due to the nature of our business-to-business sales, goods may not be returned unless damaged in transit or supplied incorrectly by us.
8.2 We do not accept returns for:
• Surplus stock
• Customer ordering errors
• Change of mind
• Goods no longer required
8.3 No goods may be returned without our prior written authorisation.
8.4 Where a valid claim is accepted, our liability shall be limited to replacement of the goods, repair of the goods, or refund of the purchase price at our discretion.
9. RETENTION OF TITLE
9.1 Ownership of goods shall remain with Penroc UK until full payment has been received for all sums due.
9.2 Until title passes, the customer shall:
• Store goods separately from other products;
• Keep goods clearly identifiable as our property;
• Maintain the goods in satisfactory condition.
9.3 We reserve the right to recover goods for which payment remains outstanding.
10. WARRANTIES
10.1 We warrant that products supplied will materially conform to their published specification at the time of delivery.
10.2 Except as expressly stated in these Terms, all warranties, conditions and representations implied by statute or common law are excluded to the fullest extent permitted by law.
11. LIMITATION OF LIABILITY
11.1 Nothing in these Terms excludes liability for:
• Death or personal injury caused by negligence;
• Fraud or fraudulent misrepresentation;
• Any liability that cannot legally be excluded.
11.2 Subject to Clause 11.1, our total liability arising from any contract shall not exceed the total amount paid by the customer for the goods giving rise to the claim.
11.3 We shall not be liable for:
• Loss of profit;
• Loss of business;
• Loss of anticipated savings;
• Loss of contracts;
• Indirect or consequential losses.
12. FORCE MAJEURE
12.1 We shall not be liable for any failure or delay in performing our obligations where caused by circumstances beyond our reasonable control, including but not limited to:
• Acts of God
• Fire
• Flood
• Pandemic
• Industrial disputes
• Government action
• Transport disruption
• Supplier failure
12.2 Our obligations shall be suspended for the duration of such event.
13. WEBSITE CONTENT
13.1 All content on the Website, including text, graphics, logos, photographs and product information, remains the intellectual property of Penroc UK or its licensors.
13.2 No content may be copied, reproduced or used without prior written permission.
14. DATA PROTECTION
14.1 We process personal data in accordance with applicable UK data protection legislation, including the UK GDPR and Data Protection Act 2018.

15. GOVERNING LAW
15.1 These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.
